Terms of Service

1. Agreement to Terms

These Terms of Service govern your access to and use of Diffbill. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use Diffbill.

2. Eligibility and Account Registration

You must be legally able to enter into a contract to use Diffbill. You are responsible for account security, maintaining accurate account information, and all activity under your account. You may not share access credentials.

3. Service Description

Diffbill helps users transform GitHub work metadata into invoice-ready billing drafts, including optional AI-assisted rewriting and Stripe workflow integration. Diffbill does not provide legal, accounting, or tax advice.

4. Acceptable Use

You agree not to use Diffbill to violate law, infringe intellectual property rights, generate fraudulent invoices, interfere with service operations, reverse engineer the platform, or bypass security controls. We may suspend accounts for abusive or unlawful use.

5. Third-Party Services

Diffbill integrates with third-party providers including GitHub (repository access), Stripe (payments and billing), PostHog (product analytics), and Vercel (hosting and web vitals). Your use of third-party services is governed by their terms and policies. We are not responsible for third-party service availability, changes, or outages.

6. Billing and Subscriptions

Paid plans are billed on the interval shown at checkout and may renew automatically unless canceled. You authorize charges for applicable subscription fees and taxes. Unless required by law, fees are non-refundable once billed.

7. Data and Customer Content

You retain rights to your content and data. You grant Diffbill a limited license to process data as needed to provide and improve the service, including use of product analytics to build useful features, fix bugs, and improve reliability (see our Privacy Policy for details). You are responsible for ensuring you have rights to the data you connect to Diffbill.

8. Intellectual Property

Diffbill and its software, branding, and documentation are owned by Diffbill and its licensors and are protected by applicable intellectual property laws.

9. Disclaimers

Diffbill is provided on an as-is and as-available basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Diffbill will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our aggregate liability under these Terms will not exceed the amounts paid by you to Diffbill in the twelve months before the claim.

11. Termination

You may stop using Diffbill at any time. We may suspend or terminate access for violations of these Terms, legal requirements, or security risks. Sections that reasonably should survive termination remain in effect.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law rules. Venue for disputes will be in courts located in Iowa, unless otherwise required by law.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting an updated version and revising the Last updated date. Continued use after the effective date of revised Terms constitutes acceptance.
